First Au moves on Javelin to build a bigger Kalgoorlie gold story

Javelin is swapping standalone scale for a broader Kalgoorlie gold portfolio and a meaningful stake in what comes next...

Javelin Minerals (ASX:JAV) has agreed to a recommended all-scrip takeover from First Au (ASX:FAU), combining their Eastern Goldfields assets into a larger brownfields gold platform near Kalgoorlie.

The proposed deal brings together Gimlet, Riverina East, Eureka and Coogee, with the three resource-backed projects carrying a combined gold inventory of about 350,600oz.

For Javelin shareholders, the interesting part is they do not simply cash out.

They stay in the story.

Premium now, exposure later

The offer implies 11.7647 First Au shares for each Javelin share before First Au’s proposed 20-for-1 consolidation.

Based on First Au’s 10-day VWAP, the bid implies 11.53 cents per Javelin share, a 40.6% premium to Javelin’s 11 September close. Using First Au’s closing price, the implied value rises to 14.12 cents, or a 72.2% premium.

Because it is an all-scrip offer, Javelin holders also retain exposure to Eureka and Coogee while adding Gimlet, Riverina East and the rest of First Au’s portfolio.

Nearly half the combined company

If First Au acquires 100% of Javelin, former Javelin shareholders are expected to own around 48.7% of the enlarged group.

That is a meaningful seat at the table.

The combined resource base would include about 112,900oz at Gimlet, 110,687oz at Eureka and 126,685oz at Coogee.

The logic is scale

The transaction is really about consolidating brownfields gold assets in one of WA’s best-known mining districts.

More ounces, more projects, more optionality around exploration and future development.

The Javelin Board has unanimously recommended the offer, in the absence of a superior proposal and subject to the Independent Expert’s conclusions.

What comes next

The deal still has conditions to clear, including a minimum 50.1% acceptance threshold.

Bidder and Target Statements are scheduled for October, with the offer period currently expected to run from 30 October to 30 November.

For Javelin shareholders, the choice is not simply whether to sell.

It is whether a bigger Eastern Goldfields platform can do more with the assets than either company could alone.
